Precision Castparts buys Titanium Metals for $2.9B

Precision Castparts Corp. is buying Titanium Metals Corp. in a deal worth roughly $2.9 billion, the companies announced Friday.

Precision, based in Portland, Ore., will pay $16.50 per share in cash for the Dallas-based titanium melted and milled products company, a 44 percent premium to the company's closing stock on Thursday.

"Timet will provide us with the titanium capability that has always been a key missing piece of our overall product portfolio," Mark Donegan, CEO of Precision Castparts said in a statement.

The deal will allow Precision Castparts to streamline its supply chain and better manage its input costs in core operations. Donegan said that the addition will also help the company as it tries to grow in the aerostructure market that Titanium Metals works with.

Timet, with production facilities in the U.S. and Europe, supplies nearly one-fifth of the world's titanium. The metal is in demand among commercial aerospace manufacturers for jet engine components and airframe structures because it reduces weight and increases fuel efficiency.

The news sent shares of Titanium Metals up more than 40 percent in after-hours trading. Precision's shares increased 5 percent.

Precision and Timet have worked together for a number of years. As a result, Donegan expects the integration of the business to move quickly once the transaction closes, which is expected by year-end.

Titanium Metals' primary stockholder, Valhi Inc., a unit of Contran Corp., has agreed to tender its shares. It holds more than half of the company's outstanding stock. The deal has been approved by the boards of both companies.

Precision expects the acquisition will add to its earnings immediately. It is financing the deal with a combination of cash on hand and debt.

Titanium Metals also said Friday that it earned $18.6 million, or 11 cents per share, in the third quarter. That is down from $25 million, or 14 cents per share, in the same quarter last year. Both quarters include a charge of 1 cent per share for deferred income tax.

Its revenue fell to $257.7 million from $262.5 million as lower demand for industrial-grade products were offset by higher prices.

Analysts polled by FactSet were expecting the company to earn 16 cents per share on revenue of $282.5 million.

Titanium Metals shares closed regular trading at $11.57 but jumped $4.95 to $16.52 after hours. That is beyond its 52-week trading range of $10.42 to $16.53. Precision's shares increased $4.92 to $176.25 in after-hours trading.

El Rodeo Student Wins Gold at National Water Polo Event - Beverly ...

As the goalie for the L.A. Premier Water Polo Club's 14-and-under boys team, El Rodeo seventh grader Sam Krutonog took home the gold last weekend at the Turbo Cup.

Held at the at University of Michigan in Ann Arbor from Nov. 2-4, the Turbo Cup features the top youth water polo teams in the country. L.A. Premier Water Polo dominated, with Krutonog blocking more than 30 goals in four games. He also made two scoring assists.

Standing at just under 5'11", the 12-year-old goalie is the youngest member of his squad.

"It was a big honor even to be there," Krutonog said. "I love the pressure of being goalie. Hearing my name by the announcer during the game was something I had to get used to."

Krutonog joined the L.A. Premier Water Polo Club in September of this year, having played for Los Angeles Water Polo Club from 2011-12. Krutonog made the All-American list at the 2012 Junior Olympics held at Stanford University, leading the 12-and-under team to a bronze medal in the Gold Division.

Staying in shape for premier water polo competition is intense. Krutonog trains on average five days per week, with many tournaments on the weekends. He'll be playing in the California Coastal Zone Championships Nov. 10-11 and in the Ventura County Cup Dec. 1-2.?

Out of the water,?Krutonog?plays the piano and tuba, and is fluent in Russian. His little brother Nolan, a Beverly Vista sixth grader, is a goalie for the?L.A. Premier Water Polo Club 12-and-under team.?

Deep in the inner ear of mammals is a natural battery ? a chamber filled with ions that produces an electrical potential to drive neural signals. In today's issue of the journal Nature Biotechnology, a team of researchers from MIT, the Massachusetts Eye and Ear Infirmary (MEEI) and the Harvard-MIT Division of Health Sciences and Technology (HST) demonstrate for the first time that this battery could power implantable electronic devices without impairing hearing.

The devices could monitor biological activity in the ears of people with hearing or balance impairments, or responses to therapies. Eventually, they might even deliver therapies themselves.

In experiments, Konstantina Stankovic, an otologic surgeon at MEEI, and HST graduate student Andrew Lysaght implanted electrodes in the biological batteries in guinea pigs' ears. Attached to the electrodes were low-power electronic devices developed by MIT's Microsystems Technology Laboratories (MTL). After the implantation, the guinea pigs responded normally to hearing tests, and the devices were able to wirelessly transmit data about the chemical conditions of the ear to an external receiver.

"In the past, people have thought that the space where the high potential is located is inaccessible for implantable devices, because potentially it's very dangerous if you encroach on it," Stankovic says. "We have known for 60 years that this battery exists and that it's really important for normal hearing, but nobody has attempted to use this battery to power useful electronics."

The ear converts a mechanical force ? the vibration of the eardrum ? into an electrochemical signal that can be processed by the brain; the biological battery is the source of that signal's current. Located in the part of the ear called the cochlea, the battery chamber is divided by a membrane, some of whose cells are specialized to pump ions. An imbalance of potassium and sodium ions on opposite sides of the membrane, together with the particular arrangement of the pumps, creates an electrical voltage.

Although the voltage is the highest in the body (outside of individual cells, at least), it's still very low. Moreover, in order not to disrupt hearing, a device powered by the biological battery can harvest only a small fraction of its power. Low-power chips, however, are precisely the area of expertise of Anantha Chandrakasan's group at MTL.

The MTL researchers ? Chandrakasan, who heads MIT's Department of Electrical Engineering and Computer Science; his former graduate student Patrick Mercier, who's now an assistant professor at the University of California at San Diego; and Saurav Bandyopadhyay, a graduate student in Chandrakasan's group ? equipped their chip with an ultralow-power radio transmitter: After all, an implantable medical monitor wouldn't be much use if there were no way to retrieve its measurements.

But while the radio is much more efficient than those found in cellphones, it still couldn't run directly on the biological battery. So the MTL chip also includes power-conversion circuitry ? like that in the boxy converters at the ends of many electronic devices' power cables ? that gradually builds up charge in a capacitor. The voltage of the biological battery fluctuates, but it would take the control circuit somewhere between 40 seconds and four minutes to amass enough charge to power the radio. The frequency of the signal was thus itself an indication of the electrochemical properties of the inner ear.

To reduce its power consumption, the control circuit had to be drastically simplified, but like the radio, it still required a higher voltage than the biological battery could provide. Once the control circuit was up and running, it could drive itself; the problem was getting it up and running.

The MTL researchers solve that problem with a one-time burst of radio waves. "In the very beginning, we need to kick-start it," Chandrakasan says. "Once we do that, we can be self-sustaining. The control runs off the output."

Stankovic, who still maintains an affiliation with HST, and Lysaght implanted electrodes attached to the MTL chip on both sides of the membrane in the biological battery of each guinea pig's ear. In the experiments, the chip itself remained outside the guinea pig's body, but it's small enough to nestle in the cavity of the middle ear.

New York City borough says help is slow after Sandy

NEW YORK (AP) ? The mother grabbed her two boys and fled their home as it filled with water, hoping to outrun Superstorm Sandy.

But Glenda Moore and her SUV were no match for the epic storm. Moore's Ford Explorer stalled in the rising tide, and the rushing waters snatched 2-year-old Brandon and 4-year-old Connor from her arms as they tried to escape.

The youngsters' bodies were recovered from a marsh Thursday ? the latest, most gut-wrenching blow in New York's Staten Island, an isolated city borough hard-hit by the storm and yet, residents say, largely forgotten by federal officials assessing damage of the monster storm that has killed more than 90 people in 10 states.

"Terrible, absolutely terrible," Police Commissioner Raymond Kelly said as he announced the boys' bodies had been found on the third day of a search that included police divers and sniffer dogs. "It just compounds all the tragic aspects of this horrific event."

The heartbreaking discovery came as residents and public officials complained that help has been frustratingly slow to arrive on stricken Staten Island, where 19 have been killed ? nearly half the death toll of all of New York City.

Garbage is piling up, a stench hangs in the air and mud-caked mattresses and couches line the streets. Residents are sifting through the remains of their homes, searching for anything that can be salvaged.

"We have hundreds of people in shelters," said James Molinaro, the borough's president. "Many of them, when the shelters close, have nowhere to go because their homes are destroyed. These are not homeless people. They're homeless now."

Molinaro complained the American Red Cross "is nowhere to be found" ? and some residents questioned what they called the lack of a response by government disaster relief agencies.

A relief fund is being created just for storm survivors on Staten Island, Molinaro and former Mayor Rudolph Giuliani said Friday. And Homeland Security Secretary Janet Napolitano and Federal Emergency Management Agency Deputy Administrator Richard Serino planned to tour the island.

Four days after Sandy lashed the East Coast with high winds and a huge storm surge, frustration mounted across New York City and well beyond as millions of people remained without power and motorists lined up for hours at gas stations in New Jersey and New York.

In the city's Queens borough, a man was accused of pulling a gun Thursday on a motorist who complained when he cut in line at a gas station; no one was injured. And as the Friday morning commute began, long lines at gas stations in suburban Westchester County snaked along expressway breakdown lanes and exit ramps.

There were hopeful signs, though, that life would soon begin to return to something approaching normal.

Consolidated Edison, the power company serving New York, said electricity should be restored by Saturday to customers in Manhattan and to homes and offices served by underground power lines in Brooklyn. More subway and rail lines were expected to open Friday, including Amtrak' New York to Boston route on the Northeast Corridor.

But the prospect of better times ahead did little to mollify residents who spent another day and night in the dark.

"It's too much. You're in your house. You're freezing," said Geraldine Giordano, 82, a lifelong resident of the West Village. Near her home, city employees had set up a sink where residents could get fresh water, if they needed it. There were few takers. "Nobody wants to drink that water," Giordano said.

"Everybody's tired of it already," added Rosemarie Zurlo, a makeup artist who once worked on Woody Allen movies. She said she planned to temporarily abandon her powerless, unheated apartment in the West Village to stay with her sister in Brooklyn. "I'm leaving because I'm freezing. My apartment is ice cold."

There was increasing concern about the outage's impact on elderly residents. Community groups have been going door-to-door on the upper floors of darkened Manhattan apartment buildings, and city workers and volunteer in hard-hit Newark, N.J., delivered meals to seniors and others stuck in their buildings.

"It's been mostly older folks who aren't able to get out," said Monique George of Manhattan-based Community Voices Heard. "In some cases, they hadn't talked to folks in a few days. They haven't even seen anybody because the neighbors evacuated. They're actually happy that folks are checking, happy to see another person. To not see someone for a few days, in this city, it's kind of weird."

Along the devastated Jersey Shore and New York's beachfront communities, a lack of electricity was the least of anyone's worries.

Residents were allowed back in their neighborhoods Thursday for the first time since Sandy made landfall Monday night. Some were relieved to find only minor damage, but many others were wiped out. "A lot of tears are being shed today," said Dennis Cucci, whose home near the ocean in Point Pleasant Beach sustained heavy damage. "It's absolutely mind-boggling."

After touring a flood-ravaged area of northeastern New Jersey, Gov. Chris Christie said it was time to act, not mourn.

"We're in the 'triage and attack phase' of the storm, so we can restore power, reopen schools, get public transportation back online and allow people to return to their homes if they've been displaced," he said.

In Staten Island, police recounted Glenda Moore's fruitless struggle to save her children.

Kelly said the 39-year-old mother "was totally, completely distraught" after she lost her grip on her sons shortly after 6 p.m. Monday. In a panic, she climbed fences and went door-to-door looking in vain for help in a neighborhood that was presumably largely abandoned in the face of the storm.

She eventually gave up, spending the night trying to shield herself from the storm on the front porch of an empty home.
